User agreement

1. General Terms


1.1 Memento U and the Service we offer
Memento Network AS and its affiliates («Memento U», «we» or «us»,) welcomes you to the Memento U Application, www.getmemento.app, the Memento Portal, https://www.mementoportal.com/, the Memento Company Portal and Memento U’s other websites, online locations, and mobile applications (collectively, the «Sites»).

We provide a duplex software-platform within the activity- and training segment, consisting of the Memento U application («Application»), Memento Portal and Memento Company Portal, (collectively, the «Memento Platform»). The Application is available as a mobile application on Apple Store and Google Play. The Application is free to download and use. You can access the Memento Portal and Memento Company Portal through the Application or by the mentioned websites.

In the Application, you can easily search, book and complete a single or group session with your chosen Memento Supplier, participate in fun activities with other Users and track and share your progress, all in a simple and motivating way.

Memento U does not act on behalf of Memento Suppliers, Company Users or other Users, we only provide the Sites.

 

1.2 Sessions and Activities
The different sessions («Sessions») you can choose from in the Application may be workouts, training or rehabilitation, consisting strength training, running, dancing, stretching and similar. You can also join or request different activities («Activities») in the Application, which will either be a form of sports activity, hike or course. Memento U does not organize or perform any Sessions or Activities ourselves.

1.3 Users
There are three different types of user groups in the Memento Platform; regular users («Users»), which also includes businesses who uses the Memento Company Portal («Company Users») and employee users who are connected to the Memento Company Portal («Employee Users»), Memento suppliers («Memento Suppliers»), divided into memento trainers («Memento Trainers») and activity partners («Activity Partners»). Memento Trainers may include therapists, personal trainers, coaches, companies/foundations and private citizens that has either sufficient education and/or a liability insurance and offer their services as Sessions. Activity Partners may also include Memento Trainers, companies/foundations or private citizens, but is not required education. Activity Partners can create, join and participate in Activities.

 

1.4 This Agreement
This («Agreement») applies to all use of the Memento Platform, licensed by Memento U and the Sites. Please read this Agreement carefully before downloading the Application or using the Sites. By accessing or using the Sites or any part thereof, you acknowledge that you have read, understood and agree to be bound by the terms of the Agreement. If you do not agree to the Agreement, please do not download the Application or use the Sites.


1.5 Revision of this Agreement

The Agreement may be revised or updated from time to time. Accordingly, you should revise the Agreement regularly for updates. You can determine when the Agreement were last revised by referring to the "Last Revised" date at the top of this Agreement. Each time you access or use the Sites, you signify your acceptance of the current terms of service.

If you do not want to accept the revised Agreement, you may terminate the Agreement with immediate effect by deleting your account.


1.6 Age of Users
By registering as a User, you confirm that you are at least 18 years of age. You are responsible for adhering to any stricter applicable local law.

The Memento Platform is directed to persons 18 years of age or older. Memento U does not knowingly collect information from any person under age 18. If you are under age 18, you are not permitted to use the Memento Platform or to submit any personally identifiable information to Memento U. If you provide information to Memento U or any Memento Supplier through the Memento Platform, you represent that you are 18 years of age or older.

Notwithstanding the foregoing, if you are between 13 and 17 years of age, you may participate in a Session or Activity if your parent or guardian schedules and pays for the Session or Activity through the Memento Platform, agrees to these terms on your behalf, and supervises or participates in the Session or Activity.

If you schedule a Session or Activity for someone who is between the ages of 13 and 17 years old, you represent and warrant to Memento U that: (a) you are that individual‘s parent or guardian, (b) that you agree to these terms on that individual‘s behalf, (c) that you have permission to provide personally identifiable information about that individual to Memento U and that Memento U may use such personally identifiable information in accordance with the Privacy Policy, and (d) that you will supervise or participate in the Session or Activity. You are not permitted to schedule a Session or Activitiy for, or to provide information to Memento U regarding, anyone under the age of 13 and no individual under the age of 13 may participate in any Session or Activity.


1.7 User Restrictions

You understand and agree that Memento U may discontinue or restrict your use of all or any part of the Sites if you violate the Agreement, if we have a strong suspicion of violation of the Agreement, for your own security reasons, or if we are required by law or order from the authorities.

2. Account, Profile and Communication


2.1 Registering as a User

When you create a User account in the Application and Memento Portal, you must first register your full name, email address, requested password and telephone number. When you have registered your telephone number you will receive a verification code by SMS. In order to continue the registration, you must fill in the verification code. You will be able to login to the Application after confirming your email address. Your email address will be your username in the Application. After your first login you must also register information about payment details (asked upon when performing a booking).

Users can choose to add the following supplemental information in the Application; residential address, goals (e.g. wheightloss, social, rehabilitation etc.), preferences (e.g. strength training, conditioning, yoga etc.), current activity level per week (e.g. 1, 2-3 etc.), current fitness level (e.g untrained, exerciser, trained etc.), favorite activity location (will be used in map positioning in searches), profile picture, other pictures than profile picture (background picture etc.).

You are responsible for registering correct, accurate, legal and complete information and you must commit to keeping your information updated at all times. You cannot register with an email address that is not yours, in the name of another person or legal entity.

The user name and password are strictly personal. It is your responsibility to keep your password safe and to make sure that your password at no time is made available to third parties. You are liable for any use of your account, with the only exception of instances where we are directly responsible for others gaining unauthorized access to your account.

A failure to comply with this provision, may constitute as a fundamental breach of the Agreement that can result in an immediate termination of your account in Application.

 

2.2 Accept of the terms of the Agreement
After you have chosen to register as a User, you must read and accept the terms of this Agreement.


2.3 User Profile

Your User profile will consist of your full name, profile picture and all registered optional information. Your full profile is not public and cannot be viewed by other Users accessing the Application.

Your first and last name, and profile picture will be visible for other Users in the friend and group functions, chats and user to user interactions. Memento Suppliers will have access to view your profile once a booking has been made.



2.4 Groups

As a User you may create public and private groups. You may add a name of the group, a group picture, description of the group and category (professional, organization, friends/social/general activity, recreational, sports team, sports and workout). As administrator of the group, you may invite members to the group, delete and block users and posts.

You may also join groups based on different categories. In order to access a private group, you need approval from the group administrator(s). You will access public groups simply by joining the public group.

As a member of a group you may add post with information and pictures that are visible for all the other group members. The other members may comment on your post, and you may comment on other group members posts. You are able to see the name and title of the other members of the group and who the administrator(s) of the group is. You are free to leave the group at any given time.


2.5 Friends

In the friends section in the Application you will get an overview of suggested friends, existing friends and requests from Users and Memento Suppliers who wishes to become your friend.

Under suggested friends you will find other Users and Memento Suppliers that are within your geographical area. Users and Memento Suppliers that have settings and preferences that are similar to your preferences, will automatically come first in line of suggestions. You have the option between passing on the friend suggestion or adding the suggested person as your friend. In order to become friends, the other User or Memento Supplier need to accept your friend request.

You can also administrate your settings based on profile role, goals, training type, level, activities per week, Memento Trainer level and evaluation. Your settings will affect your search results, and Users and Memento Trainers that match your settings will come first in line.

Any User or Memento Supplier may become your friend. Under the search function you may search between Users and Memento Suppliers by scrolling or entering letters.



2.6 Chat

Under the chat section in the Application and Memento Portal, you may communicate with Users, Memento Suppliers and friends in a private chat or in a group chat. You may create group chats, invite your friends, add group information and a picture. You are free to leave and delete the group chat at any time, which means all the information about the chat and that is shared in the chat, will be deleted from the Application or Memento Portal.

We urge you to not share any information about your health or other information that is considered sensitive information, unless this information is important for the performance of the Session or Activity. The Memento Supplier who receives your information is responsible for handling your information in a secure manner and in accordance with applicable laws and regulations.



2.7 Deletion of your Account

You can delete your own account at any time and there are no notice periods required to do so. We reserve the right to delete your account if it has been inactive for more than 365 days. Notice will be given 14 days prior to deletion.

A deletion of your account will not terminate your payment obligations as described in Section 3.

3. Booking, Payment and Cancellation


3.1 Joining Activities

You may join Activities that are available in the Activitiy section. Also, you may be invited to Activities by Activity Partners or other Users. You choose if you want to accept or decline the invitation.



3.2 Request and Confirmation

You may request booking of Sessions and Activities by different options. After choosing between the different options and confirming your Session or Activity request, the Memento Trainer or Activity Partner will reccive your booking request.

After sending your booking request, you and the Memento Supplier are able to communicate in the chat, and the Memento Supplier is able to either accept, edit or decline the request. You choose whether you want to accept the changes, or make a counter offer.

Once you have submitted a booking request for a Session or Activity, or accepted an invitation to an Activity or clicked "participate" in a public Activity, this is a confirmation and a binding handling, and you will be charged according to the current prices for the Session or The Activity, unless the Session or Activity is canceled before the cancellation period, in accordance with the cancellation policy as described in section 3.5, or if the Session or Activity is automatically canceled in accordance with section 3.6.

Users who book a Session, requests or joins an Activity, authorize the Memento Supplier for the set Session or Activity, to contact the User about the Session or Activity in the chat function in the Application. Memento Trainers or Activity Partners who receive a booking request for Session or Activity, or who have created an Activity, authorize the User who has sent the request for the Session or Activity or who has accepted an invitation to an Activity or click "join" on Activity, to access remind the Provider of the selected Session or Activity in the chat function.

When the Session or Activity has been completed, payment will be made and ratings/comments can be added by both parties. Your feedback is visible for the public and the specific Memento Supplier. The ratings given by the Memento Supplier to the User is visible only for the User and other Memento Suppliers.



3.3 Payment Service

The payment service in the Application is provided by Stripe. When processing a payment through Stripe you accept the user agreement of Stripe and the additional policies, such as the «Privacy Policy». You may use the Stripe service by logging on to your existing Stripe account, signing up and registering a new account or continuing the payment without an account.



3.4 Cancellation Policy

You may cancel any booked Sessions or joined Activities through the Application via your calendar bookings or via the «Schedule» function on your ‘homescreen’.

If you cancel a Session no later than 24 hours prior to the scheduled Session, no fee will be drawn from your payment account. If you cancel a booked Session later than 24 hours of the scheduled Session, you will be charged the full amount for the booked Session.

If you cancel an Activity no later than 2 hours prior to the scheduled Activity, no fee will be drawn from your payment account. If you cancel an Activity later than 2 hours prior of the scheduled Activity, you will be charged the full amount for the scheduled Activity.

All cancellations by the Memento Supplier must be done no later than 24 hours in advance of the Session or Activity time. If a Session or Activity is cancelled later than 24 hours before the scheduled Session or Activity, you will be notified via notifications in the Application or by email. The Memento Supplier will be marked on their profile for all cancellations.


3.5 Automatic Cancellation

The Application has an automatic cancellation system. When a Memento Supplier is booked for a one on one, duo or group Session or an Activity there are several systems in place.

Sessions

  1. If the Memento Trainer has not approved the Session before the 24 hours deadline the Session will be automatically cancelled.
  2. If one or more Users has not agreed to a duo or group Session before the 24 hours deadline and/or the minimum number of participants is not reached it will be automatically cancelled.
  3. If as Session is booked on the same day as the Session date;
    a) If the Memento Trainer has not approved the Session no later than 2 hours before it starts, it will be automatically cancelled.
    b) If one or more Users has not agreed to a duo or group session before the 2 hours deadline and/or the minimum number of participants is not reached it will be automatically cancelled.

Activities

  1. If the Activity Partner has not approved the Activity before the 6 hours deadline, the Activity will be automatically cancelled.
  2. If the minimum number of participants of an Activity is not reached within the 2 hour deadline it will be automatically cancelled.

 

The cancellation system is in place to protect both the Memento Supplier and the User from unnecessary no show or minimize the potential loss due to acute cancelled sessions.



3.6 Interruption of the Session by the "SOS" function

Users and Memento Suppliersare able to interrupt the Session by using the «SOS» function in the Application. By using the «SOS» function the Session will be suspended and cannot be resumed. This action cannot be undone. The «SOS» function is in place to protect both all participants in a Session or Activity from adverse events.

By using the «SOS» function the payment remains frozen on the Users account until the incident has been investigated by us. The person who activates the «SOS» function will be able to report the participants in the Session. After the claim is investigated, we can perform a refund or send the money to the Memento Trainer if the complaint is dismissed.

The «SOS» function shall only be used if one the following events occurs;

  • Sexual abuse
  • Physical abuse
  • Verbal abuse
  • Psychological abuse
  • Hygienic reasons
  • The other person didn’t show up for the Session
  • Acute illness

 

4. Memento Portal

4.1 Introduction
Memento U offers a portal («Memento Portal») where you can watch workout videos (UTV) or find or make your workout program with the Premium subscription. You may also offer your services as a Memento Trainer or Activity Partner.

You can enter the Memento Portal through the Application, you will then be redirected to mementoportal.com. You can also enter Memento Portal directly through mementoportal.com and browse the website as a visitor. When entering mementoportal.com you can login by using your existing user at the Application or register as a User, Memento Trainer and Activity Partner.

 

4.2 UTV and Subscriptions
Memento U offers different workout videos distributed by us. In order to watch the videos you need to login to your existing user profile or create an ancount and buy a subscription.

When buying a subscription, you may choose between;

  • UTV standard
  • UTV pluss
  • Memento premium

All subscriptions may be terminated at any time, with immediate effect.


4.3 Admin Dashboard
Only Memento Trainers and Activity Partners are able to login to their account through the Admin Dashboard, not Users.

 

5. PAI Health Technology


5.1 Introduction

The Application is integrated to the technology of PAI Health Inc. The innovative technology of PAI collects data from the Users fitness watch or information logged manually by the User, in order to track the Users activity levels and to give them a PAI score, keep track of the Users progress, estimate their fitness age and their VO2 max.


5.2 Fitness Watch and Activity Tracking

If you use a fitness watch that is connected to the Application, Memento U will receive and collect information form the provider of the fitness watch, about your heart rate, activities that are being performed and time used in the different heart rate zones.

You may disconnect the device that is connected to the Application and connect another available device. By connecting to a new device, the previous device will automatically disconnect.



5.3 Manual Tracking of Activity

You may also track your activity manually. You decide how often you want to track your activity. Note that the accuracy of the results of your fitness age and your VO2 max will be affected based on your tracking.



5.4 PAI Score, Fitness Age, VO2 Max and PAI History
Based on anonymized information about the User and the information about the activity of the User, the PAI technology allows us to calculate a PAI score, fitness age and VO2 max.


5.5 Sharing your Results

If you like, you may share your results, including your PAI score, fitness age and VO2 max with your groups. The results will only be visible for the group if you choose to share the information. You may also delete the shared information, so that is no longer available to your group.


5.6 Your Settings

You may change your setting regarding PAI and sharing your results at any time. You may completely disconnect from PAI Health Technology.

 

6. Memento Company Portal


6.1 Introduction

Memento U offers a company portal («Memento Company Portal») for companies who wants to engage their employees in fun activities and inspire to a more active lifestile. The Memento Company Portal is available on a license basis, which includes a UTV subscription, an admin panel and PAI statistics tool.



6.2 Company User

The Company Users may add the email addresses of the employees who wishes to use the Application and become connected to the Memento Company Portal. By adding an email address, the employee will receive an invitation to use the Application and share their information with the Company User.

The Company User is able to administrate Employee Users, Groups and Activities. Employee Users, Groups and Activities can be added and removed by the Company User.

The Company User is given access to its own Company Dashboard, where the Company has access to an overview of the employees, company groups and Activities, and PAI score statistics, based on the preferences of the Employee Users.


6.3 Activities and Groups

Employee Users may share information, results and interact with the Employee Users in company groups created by the company and participate in Activities with fellow Employee Users, that is arranged by the company.



6.4 Employee Users
Employee Users will receive an invitation to use the Application from the Company User and are free to accept or decline to invitation and to deccide what information they want to share with the Company User.

Employee Users may participate in Activities, share their opinions, results and interact with fellow Employee Users in the Company Group(s) dependent on the settings of the Company User.

As an Employee User you may administrate what information you share in the sharing centre at your profile and opt out from sharing PAI data, contact information and profile picture with the Company User.

You may also choose to fully disconnect your profile from the Memento Business Portal and the sharing of your information with the Company User. By pressing the “disconnect” button, the Company User you are connected to, will no longer have access to your information. Disconnecting is a permanent action that cannot be reversed.

Before disconnecting, you will get to option to connect your private profile to UTV. By disconnecting, you will still have your private profile and are able to use the Application as an ordinary User, but you will loose your access to a UTV subscription.



6.5 PAI Health and Statistics

The PAI Statistics tool allows Company Users to observe the calculated average PAI Score, based on a set time period and aggregated information about the Employee Users who have agreed to the PAI score functionality and sharing.

 

7. Software, license and proprietary rights

7.1 Software License
You acquire, upon installing the Application, a personal, non-exclusive, non-transferable and revocable right to use the Application in its current and future versions, pursuant to the provisions of this Agreement.



7.2 Software Content

All content available on or through the Memento Platform including, without limitation, text, brands, photographs, documents, graphics, audio, videos, logos, icons, images, media, data, charts, maps, software and other information and materials ideas, proposals, concepts, materials, works and deliverables (collectively, the “Content”), services or features of the Memento Platform, and any other aspect of the Memento Platform, are unless owned by a third party, the ownership of Memento U. You agree that you will not use any Content other than as permitted herein, without Memento U‘s prior written consent. Memento U may, at any time, make changes to all Content.



7.3 Intellectual property rights

You acknowledge and agree that, as between Memento U and you, all right, title, and interest in and to the Memento Platform and any related current and future functionality, including, without limitation, any patents, copyrights, trademarks, trade secrets, inventions, know-how, and any other intellectual property rights, are owned exclusively by Memento U.

(a) Copyright: All Content (other than User Content) is the copyright and property of Memento U, its licensors, related entities or content providers and is protected by international copyright laws. Other than with respect to your own User Content, you agree not to copy, modify, distribute, transmit, republish, sell, resell or exploit, for any purpose, any of the Memento Platform, including, without limitation, the Content other than as expressly authorized by Memento U in writing. 

(b) Trademarks: The trademarks, service marks, logos, slogans, trade names and trade dress used on the Memento Platform is proprietary to Memento U, its licensors, related entities, or content providers. Third party trademarks referenced on the Memento Platform do not constitute or imply affiliation with, endorsement, or recommendation of Memento U by the respective trademark owners. 

 

8. Privacy

By using the Sites, your personal data will be collected and processed pursuant to our Privacy Policy. Please review our Privacy Policy.

 

9. Acceptable use of the Sites and Conduct

 

9.1 Acceptable Use and Conduct Policy
You commit to ensure that the Sites is only used as intended by us or the purposes of the Sites and pursuant to this Agreement. You agree not to perform any of the following actions;

  1. use the Sites in a way violating law, regulation or governmental order;
  2. use the Sites, participate in any Session or Activity, for other purposes than intended by us or what is natural for the specific context;
  3. use, participate or contribute to the use of any drugs;
  4. creating income that is not reported as taxable or regulated income to your company or/and yourself as a person, thus violating law, regulations or governmental order;
  5. to try to gain unauthorized access to or disrupt any service, device, data, account or network by the use of the Sites;
  6. engage in any sort of cheating, hacking, tampering, modifying, altering, decipher, decompile, disassemble, or reverse engineer of the software of the Sites;
  7. send virus or other malicious code;
  8. recruit or otherwise solicit any User to join third party services or websites, or to participate in commercial activities that are competitive to Memento U, this also includes other third party providers, that are not direct competitors to Memento U, without our prior written approval;
  9. use the Sites in a in a way that could harm Memento U or impair anyone else’s use of it;
  10. use the Memento Platform or act in any way or situation related to a Session or Activity that could lead to the death or serious bodily injury of any person, or to severe physical or environmental damage;
  11. transmit anything that is illegal, abusive, harassing, harmful to reputation, pornographic, indecent, profane, obscene, hateful, racist, or otherwise objectionable;
  12. stalk, harass, defame, threaten, or harm another individual;
  13. display any disrespectful,inappropriate or illegal behavior at any time during or related to any Session or Activity;
  14. create a false impression that you are endorsed by, partnering with, or acting on behalf of or for the benefit of Memento U;
  15. impersonate or misrepresent your identity or your affiliation with any person or entity; 
  16. send unsolicited or unauthorized advertising or commercial communications;
  17. schedule a Session or Activity with any Memento Supplier that you were introduced to through the Memento Platform;  
  18. pay Memento Supplier in any other way than the payment method that is included in the Memento Platform;
  19. contact a Memento Supplier for any reason other than for reasons that pertain to a Session or Activity that was booked or scheduled;
  20. register for more than one account, register for an account on behalf of an individual other than yourself, or transfer the account to another party without our consent; 
  21. harvest or otherwise collect information about others, including, without limitation, email addresses or other contact information, without their consent;
  22. cause, advocate, encourage, or assist any third party in doing any of the foregoing. 


9.2 Violation of the terms
Violation of the terms in Section 9.1 may result in immediate termination of this Agreement, suspension of your account and cancellation of a scheduled Session or Activity. We will suspend your account only to the extent reasonably necessary. Unless we believe an immediate suspension is required, we will provide reasonable notice before terminating your account.

In case of suspicion of violation of the terms in Section 9.1 no. III, Memento U may request a drug test in collaboration with medical professionals. Memento U has a zero tolerance regarding the use of drugs.



9.3 User Content

The Memento Platform may include features that permits you to send information, materials, emails and other types of messages or notices to Memento U or to other Users of the Memento Platform, create a profile in connection with your account accessible by Memento Suppliers or other Users, submit reviews, opinions, biographical information and other content that others may be able to access or view, or to make other information, materials or submissions available on or through the Memento Platform (“User Content”).

You retain the rights you hold in your User Content. All User Content made available in the Memento Platform by you, shall be your solely responsibility. Use of or reliance on User Content is entirely at your own risk. 

You warrant and covenant that your User Content does not violate any applicable law, infringe or violate any other person's or entity's rights, or require any third party releases or any payment to a third party, is harmful, threatening, abusive, harassing, hateful, racially, or otherwise offensive or discriminatory, obscene, pornographic, violent, defamatory, libelous or invasive of another’s privacy or publicity rights, infringes any trade secret or intellectual property rights of any party, or contains software viruses or any other computer code, files or programs designed to destroy, interrupt or otherwise limit the functionality of any product.

Memento U reserves the right to edit, block, or remove any User Content if the User Content does not comply with the provision of this Section 9.3.

 

10. Warranty and Liability


10.1 Warranties

The Memento Platform is delivered "as is” with no warranty regarding Users, Memento Suppliers or other third party suppliers availability in the Application and Memento Portal, with the exceptions of the regulations of the applicable law.

To function properly, the Memento Platform uses certain third party services. You acknowledge that additional terms and conditions may apply for these third party services, even if such terms and conditions are not part of this Agreement, and we have no responsibilities related to such third party services.

You are responsible for the use of the Sites, including choice and/or use of available settings. You have the sole responsibility of securing that the use of the Sites is in accordance with applicable law in your jurisdiction.

Your participation in any Session or Activity is at your sole risk. You understand that Memento U is not a party in any Session or Activity between Users and Memento Suppliers. Memento U makes no warranties to safety or suitability of any Session or Activity.

You understand and agree that Memento Suppliers or other third party suppliers in the Memento Platform are not employees, agents, joint ventures or partners of Memento U. We do not warrant the conduct of any Memento Supplier or User. We solely offer a service for Users, Memento Supplier and other third party suppliers to connect with one another. Memento Supplier, other third party suppliers and Users act exclusively on their own behalf and not on behalf of Memento U.

Memento U makes no representations, warranties, guarantees or endorsements as to any Memento Supplier or other third part products or services they may be used in the Sessions or Activities or offer to the Users, the quality, timing, legality or other aspect of the services or product advertised, offered or delivered by Memento Supplier or other third party suppliers. You understand and agree that Memento Supplier is not a substitute for medical help if medical help is needed.


10.2 Liability

Our liability is limited to the delivery of the Sites. Memento U shall not, under any circumstances, be liable for personal injury or other indirect losses or damages derived from the use of the Sites. You cannot assert other liability or other rights to compensation than those specified in this provision.

Indirect losses and damage includes interruption losses, lack of anticipated savings, loss of earnings or profits, losses incurred by third parties, losses as a result of an agreement with a third party being annulled or amended, as well as other commercial or pecuniary losses, loss of data, loss of computer time or operating losses.

Our liability for damages or losses, regardless of cause and regardless of whether it refers to breach of contract or tortious conduct, shall be limited to your direct and documented losses. Total compensation shall not exceed the amount you have paid to us the last 6 months. The limit on indirect losses also applies where we have been made aware of the possibility of such losses or that such damages can occur.

 

11. Infringement and Dispute Resolution



11.1 Defaults and Termination

In the instance of a default of the Agreement by you, we may put limitations on your account, including suspending your account for as long as we see necessary.

In the instance of a material breach of the Agreement by you, we may terminate the Agreement with immediate effect. Upon such termination, your account will be deleted.

Memento U may investigate and prosecute violation of the terms of the Agreement. We may involve and cooperate with law enforcement authorities in prosecuting Users that are suspected of or that violate terms of the Agreement and criminal actions.



11.2 Inquiries and Complaints

If you are dissatisfied or experience errors or difficulties with the Sites, you are advised to contact our customer service at support@mementonetwork.com.

Memento U will handle your issue within reasonable time. If you want to file a complaint regarding the Sites, defaults at our responsibility or other deviations from your expectations and you therefore want to submit a demand, you must specify the complaint in writing within reasonable time after you discovered or should have discovered the concerned issue.

You may contact the Norwegian Consumer Council for counseling, see www.forbrukerradet.no. Alternatively, you may submit the complaint directly to the Norwegian Consumer Council for mediation.



11.3 Choice of Law and Legal Venue

This Agreement shall be construed in accordance with and be governed by the laws of Norway.

In the event of any dispute, claim or controversy between Memento U and you, the parties must participate in a mediation meeting before any court proceeding. If mediation fails, the parties may resolve the dispute before the court.

In the event of a dispute, the dispute shall be resolved before the Norwegian courts of law. Sør-Trøndelag court house shall be the legal venue.
